1) Introduction

Welcome to TimeTap (“TimeTap,” “we,” “us,” “our”). These Terms of Use (“Terms”) govern your access to and use of our website and services, including interactions with our smart contracts on Base (ETH) mainnet and the TimeTap token TTAP (collectively, the “Platform”).

By accessing or using the Platform, or by acquiring, holding, or interacting with TTAP, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms, together with our Privacy Policy, form the entire agreement between you and TimeTap for your use of the Platform. You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition, or corporate restructuring.

2) Acceptance of Terms

By accessing or using timetap services, smart contracts, or website resources, you confirm that you have read, understood, and agree to comply with these Terms. We may amend these Terms from time to time. When we do, we will update the “Last Updated” date above. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

3) Definitions

• TimeTap: The mining-rewards platform operated by us, enabling users to earn rewards through smartwatch-based tapping on Base (ETH) mainnet.
• TTAP: The TimeTap utility/rewards token used within the Platform to access or redeem certain features or rewards.
• Users / You: Individuals or entities who access or use the Platform or interact with TTAP.
• Personal Information: Information that identifies, relates to, or can reasonably be linked to an identified person.
• Smartwatch Interactions: Validated tap or motion events and related signals required to determine reward eligibility and integrity.

4) Platform & Token Description

TimeTap provides mechanisms to validate smartwatch “tapping” interactions, allocate rewards, and allow eligible users to claim such rewards on Base (ETH) mainnet. The TTAP token is a functional utility/rewards token intended for use within the Platform. TimeTap does not provide banking or fiat services.

Important: Blockchain transactions are public and irreversible. You are solely responsible for safeguarding your wallet, private keys, seed phrases, and devices. Interactions with smart contracts may carry risks, including contract bugs or network congestion.

5) Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction, if higher).
• By using the Platform or interacting with TTAP, you represent and warrant that you meet eligibility requirements and have legal capacity to agree to these Terms.
• We do not knowingly market or provide services to minors. If you are a parent/guardian and believe a minor has used the Platform, please contact us.

6) Prohibited Activities

You agree not to engage in any of the following:

• Illegal Conduct: Money laundering, fraud, sanctions violations, or other unlawful activity.
• Platform Disruption: Hacking, probing, DDoS, reverse engineering, or attempts to bypass security or integrity checks.
• Manipulation & Abuse: Spoofing smartwatch signals, using bots or emulators to fake taps, wash trading, or activities intended to distort reward allocation or token markets.
• Malware / Harmful Content: Uploading or distributing viruses, worms, or malicious code; posting unlawful, defamatory, or infringing content.
• Impersonation & Misrepresentation: Falsely representing affiliations, identities, or approvals.
• Violation of Third-Party Rights: Infringing intellectual property, privacy, or contractual rights.

We may suspend or terminate access for violations, at our discretion.

7) Intellectual Property

• Ownership: The Platform, content, logos, brand assets, code, and materials are owned by TimeTap or our licensors and are protected by applicable IP laws.
• Limited License: Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.
• Restrictions: You may not copy, modify, create derivative works, distribute, or exploit the Platform or materials except as expressly permitted.
• Feedback: If you provide suggestions or feedback, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use them without obligation.

8) Cryptocurrency Risks

• Market Volatility: Digital assets can be highly volatile. You could lose some or all value.
• No Investment Advice: TimeTap does not provide financial, investment, or legal advice. Do your own research.
• Security: You are responsible for your wallet, private keys, and devices. Loss of access may be irreversible.
• Regulatory Uncertainty: Laws and regulations evolve and vary by jurisdiction; ensure your compliance.
• Claims & Wallet Consistency: Rewards or TTAP distributions may require claiming from the same wallet that earned or was designated to receive them. If you lose wallet access, we may be unable to assist.

9) Limitation of Liability

To the fullest extent permitted by law, TimeTap and its affiliates, developers, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Platform or TTAP.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation.

10) Third-Party Content & Links

The Platform may include links to third-party sites, wallets, smartwatch platforms, or services. We do not endorse or control these third parties and are not responsible for their content, policies, or practices. Your use of third-party resources is at your own risk and governed by their terms and privacy notices.

11) Privacy & Cookies

Your use of the Platform is subject to our Privacy Policy, which describes how we collect and process information, and to any applicable cookies notices. By using the Platform, you acknowledge and agree to our data practices as described there. For privacy requests, contact contact@timetap.xyz.

12) Governing Law & Compliance

These Terms and your use of the Platform are governed by the laws of India, without regard to conflict of laws principles. You represent and warrant that your access and use comply with laws applicable to you, including sanctions and cryptocurrency regulations.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be replaced with a valid provision that best reflects the original intent.

13) Token Classification (TTAP)

TTAP is intended to function as a utility/rewards token within the TimeTap Platform. It is not designed as, nor should it be treated as, a financial security or investment product. Classification and regulation of tokens may vary by jurisdiction and may change over time.

You are responsible for understanding and complying with applicable laws where you reside. TimeTap makes no representations regarding the legal status of TTAP in any jurisdiction.

14) Changes to These Terms

We may update these Terms to reflect changes to our services, technology, or applicable laws. Material changes will be indicated by the updated “Last Updated” date above and, where appropriate, additional notice. Your continued use of the Platform after changes constitutes acceptance.
